Who knows stuff about management structures, like the difference between Directors, CEOs, Exec Directors etc?

What I want to know:

I'm part of a non-profit company and we're trying to iron out our individual roles and responsibilities. We have 8 Directors, 2 of whom are paid on a freelance basis to manage the company and get projects started.

One of those two is the Chair of the Board of Directors and effectively the CEO/MD. We need to define the role of the other one of those. Wanted to go with Executive Director but does this imply they are in charge?

What's a word for a Director who actually spends a good deal of their time doing actual work, but sits underneath another Director, and where most of the other ones are only involved in strategic decisions etc?
